You acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must immediately cease using our Site and Services.

2. Description of Services
JadeVN provides AI-powered business strategy and automation services. This includes, but is not limited to, an AI virtual receptionist that handles appointment scheduling, reminders, and budget estimates via call and messaging, as well as the development of "smart" websites that integrate these AI agents to capture and qualify leads.

3. User Eligibility and Registration

  • 3.1. To use our Services, you must be at least 18 years of age and possess the legal authority to enter into a binding contract.

  • 3.2. You agree to provide accurate, current, and complete information during the registration process.

  • 3.3. Our Services are intended for business use by commercial entities and professionals. You are prohibited from using our Services for any illegal or unauthorized purpose.

4. Intellectual Property Rights

  • 4.1. Our Property: The Site and Services, including their entire contents, features, and functionality (including all software, AI models, algorithms, text, displays, images, and the design, selection, and arrangement thereof), are owned by JadeVN, its licensors, or other providers and are protected by international copyright, trademark, and other intellectual property laws.

  • 4.2. Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

  • 4.3. Customer Data: You retain all intellectual property rights in the data, information, and content you submit to our Services ("Customer Data"). By submitting Customer Data, you grant JadeVN a worldwide, royalty-free license to use, host, and process this data solely for the purpose of providing, maintaining, and improving the Services.

5. Payment Terms

  • 5.1. Subscription Model: Our Services are offered on a subscription basis (e.g., monthly or annual). You agree to pay all fees specified for the Service plan you select.

  • 5.2. Payment Methods: We accept payment through major credit cards (Visa, MasterCard, American Express), PayPal, and other designated payment methods. By providing your payment information, you authorize us to charge the applicable fees.

  • 5.3. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the renewal date.

  • 5.4. Refund Policy: Due to the digital and non-tangible nature of our Services, all fees are non-refundable, except as required by law or at our sole discretion.

6. Modifications to the Service and Terms
We reserve the right, at our sole discretion, to modify, suspend, or discontinue any aspect of the Services, including features, functionality, and pricing, at any time. We will provide you with at least 30 days' notice of any material changes to these Terms or pricing that adversely affect you. WE DO NOT GUARANTEE THAT THE SERVICES WILL RESULT IN ANY SPECIFIC BUSINESS OUTCOME, SUCH AS INCREASED LEADS OR REVENUE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JADEVN, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;

  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;

  3. ANY CONTENT OBTAINED FROM THE SERVICES; AND

  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

9. Account Suspension and Termination

  • 9.1. By You: You can cancel your account and subscription at any time by contacting us or through your account settings.

  • 9.2. By Us: We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms, engage in fraudulent or illegal activity, or fail to pay applicable fees. Upon termination, your right to use the Services will cease immediately.

10. Governing Law and Dispute Resolution

  • 10.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

  • 10.2. Arbitration: Any dispute arising from these Terms or your use of the Services shall be resolved through final and binding arbitration in Wilmington, Delaware in accordance with the rules of the American Arbitration Association, and you and JadeVN expressly waive a trial by jury.
